Introductory Statement 

E=Motion is a sci-fi road trip to the end of the universe.

TKM Production Limited (the Company) has been given advanced assurance from HM Revenue and Customs that the production of the Film is a qualifying activity under the Enterprise Investment Scheme (EIS) and has currently submitted our Business Plan to obtain advanced assurance for SEIS. The Company has been formed for the sole purpose of seeking finance for producing and exploiting the Film. The Company intends to raise up to one hundred and fifty pounds Sterling (£150,000).  

E=Motion carries the potential to be a mass-appeal movie, and has elements of sci-fi, drama and thriller.  

The first draft of the script has been completed and is ready to go into pre-production. We anticipate the Film will be ready for distributors to market no later than one year after the full receipt of financing.

Synopsis:       

Ellen, a CIA agent is sent on a mission to escort a high priority professor to a secret location point.

On their journey through the barren landscapes of America, Ellen not only discovers that The Professor’s highly classified research project is on the subject of Extra Terrestrials; but that The Professor himself is in fact the subject…

Sent to Earth to research how to travel faster than light in an attempt to save his alien race from extinction, The Professor needs to get to the location point in time to share his research along with all of the CIA’s classified data with his civilisation.

But what The Professor is yet to learn is that his research project has been a failure, and the very answer he’s been looking for is staring him straight in the face…

Examining films of a similar genre and subject matter:

To illustrate what an investor can expect by investing £10,000 over a three year period we have laid out four scenarios:

SCENARIO 1

Should the film receive a low level of interest:

£10,500 Net Profit to investors

Recoupment of investment + 7% = £10,700

SCENARIO 2

Should this film be moderately successful:

£84,000 Net Profit to investors

Recoupment of investment + 56% = £15,600  

SCENARIO 3

Should the film be successful:

£316,500 Net Profit to investors

Recoupment of investment + 211% = £31,100

Although Scenario 4 appears very high, it is based on data from films with a similar genre such as; Dark City, Before Sunrise, Broken Flowers, and The Matrix. Taking our budget of 150k ($255k) into consideration we only need to get 5.24% of the same demographic to see the following profit:

£789,000 Net Profit to investors

Recoupment of investment + 526%= £52,600

Scenario 4 is our target! This is what we are aiming for.

We feel this is achievable as two other films with similar genre and subject matter would have used a similar forecast. These are:

Another Earth which had a budget of $100,000 and had a return of $1,776,935

Safety not Guaranteed which had a budget of $750,000 and had a return of $4,000,000

Some key positives associated with this investment model include:

• 1^st position recoupment of investment from film net revenues (subject to the full production budget being raised by the SEIS).

• The film will should benefit from the Government’s Film Tax Rebate scheme which is structured to provide up to a 25% rebate on qualifying expenditure – we are currently applying to obtain the Letter of Comfort from the BFI (British Film Institute) which will allow us to be eligible for the tax rebate.

• High production values contributed by experienced professional team.

• Raised profile of subject matter delivers real potential for worldwide box office appeal.

The Company plans to make E=Motion a commercial success without compromising on artistic merit and will be made for theatrical release. Key to achieving commercial success will be the formation of a strong Production Team and Advisory Team and establishing a strong point of sale. 

TKM Production Limited will be placed in first position in the income stream and in first position on net profits up to the point where TKM Production Limited has achieved a full recoupment of the investment. After TKM Production Limited has received 100% of their initial investment there will be a 50/50 net profit split between the investors held by the Company and Capital Films Limited. 

Note - TKM Production Limited has been formed for the sole purpose of seeking finance for producing and exploiting the Film, E=Motion. All revenue for the investor/s will go back into TKM Production Limited; the Company profits are solely for the investor/s and not Capital Films Limited and/or the producers.

N.B. Should the production eventually proceed having merely attained a lower target, the recoupment positions may alter due to alternative funding. 

Collection agent  - The company responsible for administering income from sales; and from where payments to financiers and profit participants are made.

Sales agent - The entity appointed or authorized to Sell (i.e. License) a film, usually on behalf of the Producer, but sometimes in its own right.

The minimum individual investment is £25. 

The maximum an investor can invest in an SEIS/EIS company cannot exceed shares equivalent to 30% of that company if the investor wishes to apply for tax relief under the Seed Enterprise Investment Scheme or Enterprise Investment Scheme.

Once the minimum target is met and The Company continues to receive funds, TKM Production Limited will issue Ordinary B shares to the Investor equivalent to the £1 to 1 share ratio until the maximum target is met.

The A Shares will have voting rights in the Company which would not allow the B Shareholders/Investors to change the Company Board; however the Company Director would still need to obtain agreement from a majority of investors for any fundamental change to the function, organisation or operation of the Company in accordance with established company law.

The minimum target is £50,000 

On the assumption that £50,000 is raised through the Crowd for Angels Platform then the Film Tax Rebate (if eliabigle) may be used as part of the production budget and should we require additional finance we may seek it in the forms including but not limited to those listed below:

Product placement and sponsorship, Regional funds, Deferments, Bridge financing, Post production deals, Negative pick-ups, Sales advances, Pre-sales, Co-productions & international options and Gap financing.

However with the nature of this film we should ne need to acquire additional funds and this would only be under exceptional circumstances. 

Maximum Target

The maximum target is £150,000

On the assumption that £150,000 is raised through the Crowd for Angels Platfor the Film Tax Rebate may be used as part of the production budget but is very unlikely. It is more than likely that we would obtain the 25% UK Film Tax Rebate which would significantly reduce the exposure for the investors.

Capital Films Limited is an award winning production company that has assembled a team of filmmakers with the industry experience necessary to fully realise the potential of the Film under a new single purpose SEIS vehicle.

That SEIS vehicle will be TKM Production Limited (the Company) which has been commissioned to produce the Feature Film. The Company will enlist Capital Films Limited’s experienced team to assist the Company in producing E=Motion feature film (the Film).  The assembled production team stands ready to make the Film as appealing to potential distributors as they possibly can.

Capital Films feels that the best available cast will be available once funding is secured and we are confident that with our experience and reputation, a top quality cast will be obtained.   

The overheads are already accounted for in the long form budget and there are NO additional fees required above the £150,000 TKM Production Limited is raising through this Private Placement Memorandum, for the maintenance of the Company including the allowance for the three years of accounting required to see this company through its qualifying SEIS/EIS obligations and potentially winding the Company up in the event of a loss.  If however the Company is profitable and continues to reap profits after a three year period, the Investors and Company Director may decide to continue to keep the Company running, in which case money from the net profits will be used to do so.

Capital Films Limited was founded in 2010 by Claire Daly and Steven Farah. They both trained at the prestigious Oxford School of Drama.

Under their supervision Capital Films Ltd has developed a slate of television programmes, feature films, digital projects and short films. The company first gained recognition from the entertainment industry, after a proof-of-concept trailer for The King's Men, which Capital Films developed and produced received over 2 million views on YouTube. 

Capital Films won an award for the Best UK Pilot at The New York Television Festival 2012 with The New Bromantics; a television project written and produced by Steven Farah. Consequently, Capital Films has a development deal with Fox Television Studios and Apostle NYC to develop a new television pilot. 

On the strength of these achievements, Capital Films intends to set itself up as a global production and management company. With this aim in mind, Capital Films LLC was set up in the US in mid of 2014.
