TKM Production Limited
The Company is seeking finance for producing the feature film, "E=Motion", a sci-fi movie about a road trip to the end of the universe. E=Motion offers mass appeal as a dramatic sci-fi thriller.
About TKM Production Limited

Title

Introductory Statement

E=Motion is a sci-fi road trip to the end of the universe.

TKM Production Limited (The Company) has been given advanced assurance from HM Revenue and Customs and its activity qualifies under the Seed Enterprise Investment Scheme (SEIS). The Company has been formed for the sole purpose of seeking finance for producing the Film. The Company intends to raise up to one hundred and fifty pounds Sterling (£150,000).

E=Motion has the potential to be a mass-appeal movie with an eclectic mix of drama and thriller in the sci-fi genre.

The third draft of the script has been completed and is ready to go into pre-production. We anticipate the Film will be completed and available for distributors to market no later than one year after full receipt of financing.

Logline:      A road trip to the end of the universe…

Genre:        Sci-Fi/Thriller/Road Movie/Drama

Director:     Schuman Hoque

Writer:        Steven Farah

Length        90 minutes

Producers:  Claire Daly, Enrico Falzetti and Steven Farah

Synopsis:

Ellen, a CIA agent is sent on a mission to escort a high profile professor to a secret location.

On their journey through the barren landscapes of America, Ellen not only discovers that the subject of the professor’s highly classified research is about Extra Terrestrials; but that the professor himself is also the subject…

Sent to Earth to research how to travel faster than light in an attempt to save his alien race from extinction, the professor needs to get to the location point urgently. He must share his research with the CIA’s classified data to protect his civilisation.

What the professor has yet to learn is that his research project has been a failure, and the very answer he’s been looking for is staring him straight in the face…

It is by no means simple, but it is achievable. Anyone with a smartphone and time on their hands can make a movie but it doesn’t guarantee it will be a compelling story with quality acting, high production values, excellent editing or something people will pay to see.

The key to making a successful low budget film is the combination of a great script, an experienced team and top production values.

It has been done before; The Blair Witch Project, Monsters, Paranormal Activity and El Mariachi to name but a few very successful films that have been completed on a low-to-no budget - and we believe it can be done again with E=Motion.

Our key people; Claire Daly, Enrico Falzetti, Schuman Hoque and Steven Farah have years of experience in the motion picture industry. They have put together a talented team willing to accept much less than their usual rates for this particular project. We highlight below how E=Motion will attain high production values and commercial appeal should we only reach our minimum target of £25,000:

1. Script

  • The script is written, and follows a Hollywood format and structure. Most successful films follow a particular format; they have a beginning, middle and end but in addition, certain events happen at particular points e.g. conflict/resolution to drive the plot (Blake Snyder discusses this in greater detail in his book “Save the Cat”). Steven Farah has a proven track record and is an award winning writer who has created a hugely original and entertaining script whilst adopting the Hollywood structure.
  • There are minimal locations and minimal cast; as locations and cast increase so does the budget.
  • Hiring an experienced screenwriter can incur costs of £20,000 upwards. However, the script for E=Motion is ready for pre-production.

2. Equipment

  • Film can be a prohibitively expensive medium but most movies - even the Hollywood ones - are now shot on digital which is relatively inexpensive.
  • We intend to shoot the film using the Canon C300. The following video gives a brief idea of what this camera is capable of http://vimeo.com/32067654.
  • Capital Films has strong relationships with several well-established hire companies in the UK and can negotiate preferential hire rates for other equipment such as lighting, sound, camera mounts etc.

3. Crew

  • We have put together a talented and committed team with a wealth of experience of shooting on a Canon C300. The team has also agreed to reduced rates to enable the project to proceed.

4. Post Production

  • Schuman Hoque is not only an award winning director, he is an award winning editor too and will be editing E=Motion.
  • With regards to other areas of post production, we have already sourced our key individuals who are willing to work for a minimal fee.

If you require more specific detail on any aspect of the above, please do not hesitate to contact us. It is also worth noting that The Business Plan goes into more detail about how shooting E=Motion on £25,000 is achievable.

Should this campaign realise more funding it will be used to secure high profile 'named' actors and the associated publicity and advertising. We would also hope to pay the production team the going rates if the level of funding allows.

To illustrate what an investor can expect by investing £10,000 over a three year period we have laid out four scenarios:

SCENARIO 1

Should the film receive a low level of interest:

£10,500 Net Profit to investors

Recoupment of investment + 7% = £10,700

SCENARIO 2

Should this film be moderately successful:

£84,000 Net Profit to investors

Recoupment of investment + 56% = £15,600

SCENARIO 3

Should the film be successful:

£316,500 Net Profit to investors

Recoupment of investment + 211% = £31,100

SCENARIO 4

Although Scenario 4 appears very high, it is based on data from films with a similar genre such as; Dark City, Before Sunrise, Broken Flowers, and The Matrix. Taking our budget of 150k ($255k) into consideration we only need to get 5.24% of the same demographic to see the following profit:

£789,000 Net Profit to investors

Recoupment of investment + 526%£52,600

Scenario 4 is our target! This is what we are aiming for.

We feel this is achievable as two other films that possess similar subject matters and genres would have used a similar forecast. These are:

Another Earth which had a budget of $100,000 and had a return of $1,776,935

Safety not Guaranteed which had a budget of $750,000 and had a return of $4,000,000

The data gathered in this section was sourced from IMDb Pro, Wikipedia and Box Office Mojo

Minimum Individual Investment: £25

Maximum Individual Investment: 30% = £45,000

Minimum Target: £25,000

Maximum Target: £150,000

Some key positives associated with this investment model include:

  • 1st position recoupment of investment from film net revenues (subject to the full production budget being raised by the SEIS).
  • The film should benefit from the Government’s Film Tax Rebate scheme which is structured to provide up to a 25% rebate on qualifying expenditure – we are currently applying to obtain the Letter of Comfort from the BFI (British Film Institute) which will allow us to be eligible for the tax rebate.
  • High production values contributed by experienced professional team.
  • Raised profile of subject matter delivers real potential for worldwide box office appeal.

The Company plans to make E=Motion a commercial success without compromising on artistic merit and will be made for theatrical release. Key to achieving commercial success will be the formation of a strong Production Team and Advisory Team and establishing a strong point of sale.

TKM Production Limited will be placed in first position in the income stream and in first position on net profits up to the point where TKM Production Limited has achieved a full recoupment of the investment. After TKM Production Limited has received 100% of their initial investment there will be a 50/50 net profit split between the investors held by the Company and Capital Films Limited.

Note - TKM Production Limited has been formed for the sole purpose of seeking finance for producing and exploiting the Film, E=Motion. All revenue for the investor/s will go back into TKM Production Limited; the Company profits are solely for the investor/s and not Capital Films Limited and/or the producers.

                 Producers - 50%

N.B. Should the production eventually proceed having merely attained a lower target, the recoupment positions may alter due to alternative funding.

Collection agent  - The company responsible for administering income from sales; and from where payments to financiers and profit participants are made.

Sales agent - The entity appointed or authorized to sell (i.e. License) a film, usually on behalf of the Producer, but sometimes in its own right.

Besides the monetary incentives, investors may enjoy taking a practical part in the production in the following ways:

  • Tickets to UK premieres.
  • An opportunity to visit the set and meet the stars and other key personnel.
  • A chance to watch a film being made.
  • Receive a post film screen credit, “With Grateful Thanks”.
  • Opportunity to appear in cameo roles subject to conditions and limitations based on production requirements.
  • If you invest over £25,000 – you will be eligible for an Executive Producer credit should you so wish.

The minimum individual investment is £25.

The maximum an investor can invest in an SEIS/EIS company cannot exceed shares equivalent to 30% of that company if the investor wishes to apply for tax relief under the Seed Enterprise Investment Scheme or Enterprise Investment Scheme.

Any investor wishing to apply for tax relief under the SEIS/EIS regulations should seek advice from their personal Independent Financial Advisors to assess whether they will qualify for tax relief on this type of investment. The directors of Capital Films Limited and/or TKM Production Ltd are not responsible for individual investor’s tax status or their qualification for tax relief under the Enterprise Investment Scheme.

The number of shares issued will depend on the amount of money raised but this will have a £1 to 1 share ratio.

* Steven Farah is the Company Director – please see 'Section 4 - Key Personnel', in the Business Plan for more information. Steven Farah is also the Company Director of Capital Films Limited.

Once the minimum target of £25,000 is met then the company share structure will look as follows:

                                    Total A Shares:                                          1

                                    Value of Shares:                                        £1

                                    Shareholder:                                             Company Director

                                    Total B Shares:                                          25,000

                                    Value of Shares:                                         £1

                                    Shareholders:                                            Investors

Once the minimum target is met and The Company continues to receive funds, TKM Production Limited will issue Ordinary B shares to the Investor equivalent to the £1 to 1 share ratio until the maximum target is met.

                                    Total B Shares:                                          25,001 - 150,000

                                    Value of Shares:                                        £1

                                    Shareholders:                                            Investors

The A Shares will have voting rights in the Company which would not allow the B Shareholders/Investors to change the Company Board; however the Company Director would still need to obtain agreement from a majority of investors for any fundamental change to the function, organisation or operation of the Company in accordance with established company law.

Minimum Target

The minimum target is £25,000

On the assumption that £25,000 is raised through the Crowd for Angels Platform then the Film Tax Rebate (if eligible) may be used as part of the production budget and should we require additional finance we may seek it in the forms including but not limited to those listed below:

Product placement and sponsorship, Regional funds, Deferments, Bridge financing, Post production deals, Negative pick-ups, Sales advances, Pre-sales, Co-productions & international options and Gap financing.

The need to acquire additional funds for this film would only be under exceptional circumstances.

Maximum Target

The maximum target is £150,000

At the moment The Company Director (Steven Farah) has only been issued with 1 Share. More shares may need to be issued to The Company Director in order for the SEIS/EIS investor/s not to hold more than 30% of the company. If more shares are issued to The Company Director it will not affect the investor/s return of investment, their recoupment position or their exit strategy.

On the assumption that £150,000 is raised through the Crowd for Angels Platfor the Film Tax Rebate may be used as part of the production budget but is very unlikely. It is more than likely that we would obtain the 25% UK Film Tax Rebate which would significantly reduce the exposure for the investors.

Capital Films Limited is an award winning production company that has assembled a team of filmmakers with the industry experience necessary to fully realise the potential of the Film under a new single purpose SEIS vehicle.

That SEIS vehicle will be TKM Production Limited (the Company) which has been commissioned to produce the Feature Film. The Company will enlist Capital Films Limited’s experienced team to assist the Company in producing E=Motion feature film (the Film).  The assembled production team is committed to making the Film as appealing to potential distributors as possible.

Capital Films will secure the best available cast once funding is achieved and is confident our experience and reputation will attract a top quality cast. The higher the funding the higher the profile of the actors.

The overheads are already accounted for and there are NO additional fees required above the £150,000 TKM Production Limited is raising through Crowd for Angels, for the maintenance of the Company including the allowance for the three years of accounting required to see this company through its qualifying SEIS/EIS obligations and potentially winding the Company up in the event of a loss.  If however the Company is profitable and continues to reap profits after a three year period, the Investors and Company Director may decide to continue to keep the Company running, in which case money from the net profits will be used to do so.

Since its inception, Capital Flms has put together a team of talented directors, editors, cinematographers, photographers, motion graphic designers, art directors, producers, line producers and writers.

Our team’s extensive hands-on experience in every aspect of film production has given us the ability to make well-informed commercial and artistic decisions to ensure cost-effective and successful outcomes to our productions.

Over the past three years Capital Films has worked with a number of established industry partners and clients:

The Hollywood Reporter, BAFTA, Steve McCurry, William Hill, The New York Televion Festival, Stealth Media Group, Harbottle and Lewis, Molinare, Saffery Champness, ITV,   Technicolor, Chris Wheeldon, Tim Waller, Pat Wintersgill, Slingshot, Phaidon and a range of internationally recognised individuals and organisations.

Capital Films Limited was founded in 2010 by Claire Daly and Steven Farah. They both trained at the prestigious Oxford School of Drama.

Under their supervision Capital Films Ltd has developed a slate of television programmes, feature films, digital projects and short films. The company first gained recognition from the entertainment industry, after a proof-of-concept trailer for The King's Men, which Capital Films developed and produced received over 2 million views on YouTube.

Capital Films won an award for the Best UK Pilot at The New York Television Festival 2012 withThe New Bromantics; a television project written and produced by Steven Farah. Consequently, Capital Films has a development deal with Fox Television Studios and Apostle NYC to develop a new television pilot.
