E=Motion is a sci-fi road trip to the end of the universe.
TKM Production Limited (The Company) has been given advanced assurance from HM Revenue and Customs and its activity qualifies under the Seed Enterprise Investment Scheme (SEIS). The Company has been formed for the sole purpose of seeking finance for producing the Film. The Company intends to raise up to one hundred and fifty pounds Sterling (£150,000).
E=Motion has the potential to be a mass-appeal movie with an eclectic mix of drama and thriller in the sci-fi genre.
The third draft of the script has been completed and is ready to go into pre-production. We anticipate the Film will be completed and available for distributors to market no later than one year after full receipt of financing.

Ellen, a CIA agent is sent on a mission to escort a high profile professor to a secret location.

Sent to Earth to research how to travel faster than light in an attempt to save his alien race from extinction, the professor needs to get to the location point urgently. He must share his research with the CIA’s classified data to protect his civilisation.
What the professor has yet to learn is that his research project has been a failure, and the very answer he’s been looking for is staring him straight in the face…
It is by no means simple, but it is achievable. Anyone with a smartphone and time on their hands can make a movie but it doesn’t guarantee it will be a compelling story with quality acting, high production values, excellent editing or something people will pay to see.
The key to making a successful low budget film is the combination of a great script, an experienced team and top production values.
It has been done before; The Blair Witch Project, Monsters, Paranormal Activity and El Mariachi to name but a few very successful films that have been completed on a low-to-no budget - and we believe it can be done again with E=Motion.
Our key people; Claire Daly, Enrico Falzetti, Schuman Hoque and Steven Farah have years of experience in the motion picture industry. They have put together a talented team willing to accept much less than their usual rates for this particular project. The Company plans to make E=Motion a commercial success without compromising on artistic merit and will be made for theatrical release. Key to achieving commercial success will be the formation of a strong Production Team and Advisory Team and establishing a strong point of sale.
TKM Production Limited will be placed in first position in the income stream and in first position on net profits up to the point where TKM Production Limited has achieved a full recoupment of the investment. After TKM Production Limited has received 100% of their initial investment there will be a 50/50 net profit split between the investors held by the Company and Capital Films Limited.

The minimum individual investment is £25.
The maximum an investor can invest in an SEIS/EIS company cannot exceed shares equivalent to 30% of that company if the investor wishes to apply for tax relief under the Seed Enterprise Investment Scheme or Enterprise Investment Scheme.
Any investor wishing to apply for tax relief under the SEIS/EIS regulations should seek advice from their personal Independent Financial Advisors to assess whether they will qualify for tax relief on this type of investment. The number of shares issued will depend on the amount of money raised but this will have a £1 to 1 share ratio.

Once the minimum target is met and The Company continues to receive funds, TKM Production Limited will issue Ordinary B shares to the Investor equivalent to the £1 to 1 share ratio until the maximum target is met.

The A Shares will have voting rights in the Company which would not allow the B Shareholders/Investors to change the Company Board; however the Company Director would still need to obtain agreement from a majority of investors for any fundamental change to the function, organisation or operation of the Company in accordance with established company law.

On the assumption that £25,000 is raised through the Crowd for Angels Platform then the Film Tax Rebate (if eligible) may be used as part of the production budget and should we require additional finance we may seek it in the forms including but not limited to those listed below:
Product placement and sponsorship, Regional funds, Deferments, Bridge financing, Post production deals, Negative pick-ups, Sales advances, Pre-sales, Co-productions & international options and Gap financing.
The need to acquire additional funds for this film would only be under exceptional circumstances.
Maximum Target
The maximum target is £150,000
At the moment The Company Director (Steven Farah) has only been issued with 1 Share. More shares may need to be issued to The Company Director in order for the SEIS/EIS investor/s not to hold more than 30% of the company. If more shares are issued to The Company Director it will not affect the investor/s return of investment, their recoupment position or their exit strategy.
On the assumption that £150,000 is raised through the Crowd for Angels Platfor the Film Tax Rebate may be used as part of the production budget but is very unlikely. It is more than likely that we would obtain the 25% UK Film Tax Rebate which would significantly reduce the exposure for the investors.
Capital Films Limited is an award winning production company that has assembled a team of filmmakers with the industry experience necessary to fully realise the potential of the Film under a new single purpose SEIS vehicle.
That SEIS vehicle will be TKM Production Limited (the Company) which has been commissioned to produce the Feature Film. The Company will enlist Capital Films Limited’s experienced team to assist the Company in producing E=Motion feature film (the Film). The assembled production team is committed to making the Film as appealing to potential distributors as possible.
Capital Films will secure the best available cast once funding is achieved and is confident our experience and reputation will attract a top quality cast. The higher the funding the higher the profile of the actors.
The overheads are already accounted for and there are NO additional fees required above the £150,000 TKM Production Limited is raising through Crowd for Angels, for the maintenance of the Company including the allowance for the three years of accounting required to see this company through its qualifying SEIS/EIS obligations and potentially winding the Company up in the event of a loss. If however the Company is profitable and continues to reap profits after a three year period, the Investors and Company Director may decide to continue to keep the Company running, in which case money from the net profits will be used to do so.
